NetForChoice Partner Program Agreement

1. Introduction and Acceptance

Welcome to the NetForChoice Partner Portal. These Terms and Conditions ("Agreement") govern your participation in the NetForChoice Partner Program. By registering as a partner or affiliate, you agree to be bound by these terms.

NetForChoice ("Company", "we", "us", or "our") provides cloud infrastructure, data center solutions, and managed IT services. This Agreement establishes the relationship between NetForChoice and you ("Partner", "Affiliate", or "you").

Partners may register opportunities through the Partner Portal to receive deal protection and additional benefits. Registered deals must be bona fide opportunities with identified decision-makers and defined timelines.

Partners must comply with all applicable data protection laws, including but not limited to the Information Technology Act, 2000 and subsequent amendments. Partners are responsible for obtaining necessary consents and maintaining proper data security measures.

7. Intellectual Property Rights

All NetForChoice trademarks, logos, product names, and materials remain the exclusive property of NetForChoice. Partners receive a limited, non-exclusive, non-transferable license to use approved materials solely for authorized partner activities during the term of this Agreement.

8. Training and Certification

NetForChoice provides training programs and certifications to enhance partner capabilities. Partners are encouraged to complete relevant certifications to maintain program benefits and access advanced product tiers.

Partners are responsible for first-level customer support. NetForChoice provides escalation support and technical assistance as outlined in the Partner Portal support documentation.

This Agreement becomes effective upon acceptance and continues for one year, automatically renewing unless either party provides 30 days' written notice of non-renewal.

To the maximum extent permitted by law, NetForChoice's total liability under this Agreement shall not exceed the total commissions or benefits paid to Partner in the twelve months preceding the claim. Neither party shall be liable for indirect, incidental, consequential, or punitive damages.

Partners agree to indemnify and hold harmless NetForChoice from any claims, damages, or expenses arising from Partner's breach of this Agreement, violation of laws, or negligent or willful acts.

Partners must comply with all applicable laws and regulations, including:

14. Non-Compete and Non-Solicitation

During the term and for twelve months following termination, Partners agree not to directly solicit NetForChoice employees for employment or competitive business opportunities without prior written consent.

15. Modifications to Terms

NetForChoice reserves the right to modify these Terms and Conditions with 30 days' notice. Continued participation in the Partner Program after the effective date constitutes acceptance of modified terms. Material changes will be communicated through the Partner Portal and email.

16. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Any disputes arising from this Agreement shall be resolved through good faith negotiations. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, with proceedings conducted in English in New Delhi, India.

17.1 Independent Contractor

Partners are independent contractors, not employees, agents, or representatives of NetForChoice. Partners have no authority to bind NetForChoice or make commitments on its behalf.

17.2 Entire Agreement

This Agreement constitutes the entire understanding between the parties regarding the Partner Program and supersedes all prior agreements or understandings.

If any provision is found unenforceable, the remaining provisions shall continue in full force and effect.

Failure to enforce any provision does not constitute a waiver of that provision or any other provision.
